Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TallyMCP software, website, and related services (collectively, the "Service"), provided by Dreaming Fox LLC ("Company", "we", "us"), a limited liability company organized in Wyoming, United States, with a registered address at 30 N Gould St, Ste N, Sheridan, WY 82801. By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
TallyMCP is software that connects a local installation of Tally Prime to AI assistant software to help you create, read, update, and reconcile accounting records. The Service runs on your own computer and operates on the data in your own Tally company. We do not host, store, or process your accounting data on our servers; our servers receive only information necessary to verify your license.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your license key and for all activity under your subscription. One subscription licenses the Service for use on a single computer.
3. Subscription & payment
The Service is offered on a recurring monthly subscription billed in advance through our payment processor, Stripe. By subscribing you authorize us to charge your payment method the then-current fee each billing period until you cancel. Fees are stated on our website and may change with notice for future billing periods. Taxes, if any, are your responsibility. Refunds and cancellations are governed by our Refund Policy.
4. License
Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service on one computer for your internal business purposes. You may not resell, sublicense, rent, reverse-engineer, decompile, or attempt to extract the source code of the Service, nor circumvent its licensing or usage controls.
5. Your responsibilities & acceptable use
You are solely responsible for your accounting data, for maintaining your own backups, and for reviewing and verifying every record the Service creates or modifies before relying on it. You agree to use the Service in compliance with all applicable laws and not to use it for any unlawful, fraudulent, or harmful purpose.
6. Not professional advice
The Service is a software tool. It does not provide accounting, tax, legal, financial, or other professional advice, and nothing it produces should be relied upon as such. You are responsible for confirming the accuracy and compliance of your records, returns, and filings, including consulting a qualified professional where appropriate.
7. Third-party software
The Service requires third-party software, including Tally Prime and an AI assistant application, which are governed by their own terms and are not provided or controlled by us. We are not responsible for those products, their availability, or changes to them that affect the Service.
8. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL PRODUCE ACCURATE OR COMPLETE ACCOUNTING RESULTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR FOR ANY ERRORS IN OR CORRUPTION OF ACCOUNTING RECORDS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless the Company and its members and personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.
11. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or fail to pay. On termination, your license ends and you must stop using the Service.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new "last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Wyoming.
